This Master License Agreement and Terms of Service (“Agreement”) is entered into between:
Baytech Companies, LLC, an Ohio limited liability company operating the business platform known as BizApp247, located at:
118 Graceland Blvd. Suite 117
Columbus, Ohio 43214
and the subscribing Customer (“Customer,” “User,” or “Subscriber”).
By purchasing, subscribing to, or using the BizApp247 platform, Customer agrees to be bound by this Agreement.
This Agreement becomes effective immediately upon payment for services and remains in effect until terminated in accordance with the terms herein.
BizApp247 is a software platform integration and automation service operated by Baytech Companies, LLC.
The underlying software infrastructure used by BizApp247 is licensed under a white-label agreement from a third-party software provider.
Baytech provides:
• software configuration
• onboarding assistance
• integration services
• marketing automation setup
• training and technical support
Baytech does not own, develop, or control the underlying platform software architecture, databases, or core infrastructure systems supplied by the third-party software provider.
Customer acknowledges that:
• the platform infrastructure
• system architecture
• databases
• automation engines
• messaging systems
• telecommunications connectivity
may be operated or controlled by the third-party software provider or its infrastructure partners.
Baytech shall not be held liable for failures, interruptions, defects, or malfunctions caused by the underlying platform provider or third-party infrastructure services.
Baytech grants Customer a non-exclusive, non-transferable, revocable license to access and use the BizApp247 platform during the active subscription term.
Customer may not:
• sublicense the platform
• resell access without authorization
• reverse engineer software
• attempt to access platform source code
• disrupt or compromise system security
All platform intellectual property remains the sole property of Baytech and/or its licensed platform provider.
All services are billed on a recurring subscription basis, typically monthly unless otherwise specified.
Fees may include:
• subscription fees
• setup fees
• integration fees
• consulting services
• messaging usage charges
• telecommunications costs
• third-party service fees
All invoices are payable in advance of the service period.
Failure to maintain valid payment information may result in immediate suspension of service.
Baytech reserves the right to modify pricing or billing structure with reasonable notice.
ALL FEES ARE NON-REFUNDABLE.
This includes but is not limited to:
• subscription fees
• onboarding fees
• setup fees
• consulting services
• marketing automation configuration
• system integrations
• messaging services
• platform licensing
Once payment has been processed, no refunds will be issued under any circumstances.
Customer acknowledges that access to the platform, onboarding, technical support, and configuration services constitute immediate value delivered upon activation.
Customer may cancel their subscription at any time by providing written notice prior to the next billing cycle.
Cancellation does not entitle Customer to any refunds.
Baytech reserves the right to terminate services immediately if:
• payment obligations are not met
• illegal activities are detected
• platform policies are violated
• messaging abuse occurs
• system security is compromised
Upon cancellation or termination of service, Customer access to the platform will be disabled.
Customer will be given a limited period to export basic contact information from the system.
Exportable data may include:
• contact names
• email addresses
• phone numbers
• basic contact records
Customer acknowledges that the following platform assets cannot be exported and will be permanently deleted upon termination:
• automation workflows
• triggers and logic sequences
• funnels and automation campaigns
• SMS and email communication history
• system integrations and API connections
• webhooks
• invoices and billing records created within the platform
• community portals
• automation pipelines
• AI configurations
• reporting dashboards
• system customizations
Once an account is terminated and data is removed from the platform, recovery may not be possible.
All cancellations are final and irreversible.
Websites built inside the BizApp247 platform are created using proprietary system tools and infrastructure.
These websites cannot be exported to external hosting platforms.
If Customer wishes to transfer a BizApp247 website, such transfer is only permitted under the following conditions:
• the destination must be another account within the same underlying platform ecosystem
• written approval from Baytech must be obtained
• the receiving account must be in good standing
Baytech reserves the sole right to approve or deny any transfer request.
If Bizapp247 hosts a WordPress website for Customer, such website may be transferable.
However:
• transfer must occur prior to cancellation of service
• transfer fees may apply
• transfer must be coordinated with Baytech
If the WordPress website is not transferred before cancellation, Baytech may remove hosting access and is not obligated to retain the site.
The BizApp247 platform enables users to send SMS, MMS, email, and voice communications.
Customer is solely responsible for complying with all applicable messaging laws including:
• TCPA (Telephone Consumer Protection Act)
• CAN-SPAM Act
• FCC regulations
• CTIA messaging guidelines
• A2P messaging requirements
Customer must obtain proper consent before sending messages.
Customer must provide recipients the ability to opt out of communications.
Any misuse of messaging systems may result in immediate account termination.
The platform may include AI-powered tools used for:
• messaging automation
• content generation
• lead response
• marketing automation
Customer is solely responsible for ensuring AI tools are used in compliance with all applicable laws.
AI tools may not be used for:
• unlawful activities
• deceptive marketing practices
• targeting minors in prohibited ways
• generating illegal content
• harassment or abuse
Baytech assumes no liability for AI-generated content produced through the platform.
Customers are responsible for all materials uploaded into the platform including:
• images
• videos
• marketing content
• customer contact lists
• automation messaging content
Customers represent that they possess the legal rights required to use such materials.
Customers agree to indemnify Baytech against any claims involving:
• copyright infringement
• trademark violations
• unlawful marketing practices
Any account found to be engaging in unlawful activity may be immediately terminated without notice.
Examples include:
• spam messaging
• fraudulent marketing
• illegal data collection
• harassment or abusive communications
• unauthorized use of customer data
Baytech reserves the right to report suspected illegal activity to appropriate authorities.
Customers may upload or store various types of content within the BizApp247 platform, including but not limited to:
• images
• photographs
• graphics
• logos
• marketing materials
• advertisements
• videos
• audio files
• website content
• social media content
• documents and creative materials
By uploading or using any content within the BizApp247 platform, the Customer represents and warrants that they possess all necessary legal rights, licenses, permissions, and authorizations required to use such content.
Customers agree that any content uploaded to the BizApp247 platform must not infringe upon the intellectual property rights, copyrights, trademarks, publicity rights, or other proprietary rights of any third party.
Customers further agree that they will not upload or use:
• copyrighted images without proper licensing
• stock photography without proper authorization
• images obtained from search engines without permission
• stolen marketing materials
• trademarked brand assets without authorization
• content generated or obtained in violation of intellectual property laws
Baytech Companies, LLC does not independently verify the ownership or licensing status of content uploaded by Customers.
The BizApp247 platform functions solely as a technology service that allows Customers to store and manage their own content.
Customers assume full responsibility for all content uploaded to or used within the platform.
BizApp247 reserves the right, but not the obligation, to remove, disable, or restrict access to content that it reasonably believes may:
• violate copyright laws
• infringe intellectual property rights
• violate platform policies
• expose the platform to legal risk
Such actions may occur without prior notice.
Customer agrees to defend, indemnify, and hold harmless Baytech Companies, LLC, BizApp247, and their respective officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, damages, liabilities, settlements, penalties, costs, and legal expenses arising from or related to content uploaded or used by the Customer within the platform.
This includes claims arising from:
• copyright infringement
• trademark violations
• unauthorized use of images or media
• misuse of licensed content
• AI-generated content that violates third-party rights
This indemnification obligation survives termination of the Customer’s account and use of the platform.
Customers using AI tools within the BizApp247 platform to generate images, text, or other creative materials remain fully responsible for ensuring that such content does not violate copyright laws, trademark protections, or other intellectual property rights.
BizApp247 does not review or verify AI-generated content created by Customers.
Customers assume all legal responsibility for the use, distribution, and publication of such content.
The BizApp247 platform is provided “as-is” and “as available.”
Baytech makes no guarantees regarding:
• platform uptime
• service reliability
• uninterrupted access
• messaging delivery
• data storage availability
All warranties, express or implied, are disclaimed to the fullest extent permitted by law.
Baytech shall not be liable for:
• loss of profits
• loss of data
• business interruption
• indirect damages
• consequential damages
Total liability of Baytech shall not exceed the amount paid by Customer in the twelve (12) months preceding the claim.
Customer agrees to indemnify and hold harmless Baytech, its employees, officers, and affiliates from any claims arising from:
• Customer’s use of the platform
• violation of this Agreement
• unlawful marketing activities
• misuse of messaging systems
Any dispute arising from this Agreement shall be resolved through binding arbitration in Franklin County, Ohio.
Arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA).
Both parties waive the right to trial by jury.
The laws of the State of Ohio shall govern this Agreement.
BizApp247 maintains automated and manual monitoring systems designed to detect abuse of the platform, including messaging abuse, spam activity, unlawful communications, system manipulation, or other violations of this Agreement.
Customers acknowledge and agree that BizApp247 may monitor system activity, messaging patterns, campaign behavior, delivery rates, complaint rates, and other usage indicators in order to protect the platform, its infrastructure providers, telecommunications carriers, and other users.
If BizApp247 determines, in its sole discretion, that a Customer account presents a risk of spam activity, unlawful messaging, regulatory violations, system abuse, or other harmful conduct, BizApp247 reserves the right to immediately take protective action.
Protective actions may include but are not limited to:
• immediate suspension of messaging capabilities
• disabling phone numbers or messaging services
• pausing or terminating campaigns
• restricting account functionality
• requiring documentation of messaging consent
• requiring identity verification or business verification
• immediate termination of the Customer account
BizApp247 may take these actions without prior notice where necessary to protect the platform, telecommunications infrastructure, messaging carriers, or other users.
Customers acknowledge that such enforcement actions may occur even if an investigation is ongoing or before formal proof of a violation has been completed.
BizApp247 shall not be liable for any damages, losses, or business interruption resulting from enforcement actions taken to protect the platform.
Accounts terminated for abuse, spam, unlawful messaging, or policy violations will not receive refunds for any prepaid services, subscriptions, setup fees, or other charges.
Customers further acknowledge that violations of messaging policies may result in consequences beyond the BizApp247 platform, including but not limited to:
• telecommunications carrier blocking of messaging campaigns
• permanent denial of A2P messaging registrations associated with the Customer’s EIN or business identity
• regulatory complaints or investigations
BizApp247 reserves the right to report unlawful activity to telecommunications carriers, messaging providers, regulatory authorities, or law enforcement where required by law or necessary to protect the platform.
Baytech shall not be liable for delays or failures caused by events beyond its reasonable control including:
• internet outages
• infrastructure failures
• third-party service disruptions
• natural disasters
• telecommunications failures
This Agreement represents the entire agreement between the parties and supersedes all prior agreements.
